PLEASE READ THESE TERMS AND CONDITIONS (“Terms”) CAREFULLY BEFORE USING THIS PLATFORM

By using our Platform you accept these Terms. If you do not agree to these Terms, you must not use our Platform.
In using our Platform we may process your personal data. More information about this can be found in our Privacy Policy.
Where you are not a consumer, you confirm that you have authority to bind the business on behalf of which you are accepting these Terms. In that context, references to “you” or “your” will be to that business. Otherwise, it will refer to you, the individual entering into these Terms.
1. ACCOUNT CREATION AND SECURITY
You must create an account to use our Platform.
You must ensure all information you provide is accurate and up to date.
Upon registration, we grant you a personal, non-transferable, non-exclusive licence to use the Platform for internal business purposes, until terminated under these Terms.
You must keep your account details (username, password, API keys) secure. If you suspect unauthorized access, notify us at support@agentria.ai immediately.
2. SUBSCRIPTION FEES & PAYMENTS
We may provide a free trial period, clearly communicated at signup. After expiration, access to premium services requires payment.
Monthly plans: subscription fees are payable in advance at the beginning of each month. You may cancel anytime; access continues until end of that billing month.
Annual plans: non-refundable, payable in advance, valid for 12 months.
Taxes & duties: All fees are exclusive of VAT, GST, or other taxes. You are responsible for payment of applicable taxes.
Third-party subscriptions: Some features may require external services (e.g. cloud hosting, AI model APIs). Fees for these services are separate and subject to third-party terms.
Merchant of Record: Payments are processed by Paddle on behalf of Agentria. Invoices will be issued under “Paddle”.
3. SERVICE FEATURES & AVAILABILITY
The Platform refers to the Agentria workflow automation platform, AI Agent builder, marketplace, and all related documentation.
User Content: You may upload, create, and share automation workflows (“Abilities” and “Agents”). You are solely responsible for the accuracy, legality, and ownership of your User Content.
Availability: We do not guarantee uninterrupted or error-free service. We may suspend or restrict access for maintenance, security, or business reasons.
Performance: If you report a material error, we will seek to correct it in a reasonable timeframe. This is your sole remedy.
4. USER RESPONSIBILITIES
You agree not to:
Upload unlawful, defamatory, infringing, or harmful content.
Introduce malware, viruses, or malicious code.
Misrepresent that content originates from Agentria or others without authority.
Attempt to reverse engineer, decompile, or copy the Platform.
Use the Platform for any purpose other than internal business use.
Gain unauthorized access to servers, databases, or accounts.
Violation may result in suspension, termination, legal action, or disclosure to law enforcement.
5. INTELLECTUAL PROPERTY
Agentria Content: We own or license all intellectual property in the Platform, documentation, and improvements. We grant you a limited, revocable, non-transferable licence for internal business use.
User Content: You retain ownership of workflows and data you create. By uploading or sharing publicly, you grant Agentria a worldwide, royalty-free, sublicensable licence to use, distribute, and improve upon shared content.
If Agentria creates similar User Content independently, you waive any claims of infringement.
6. TERMINATION & DATA DELETION
Your subscription begins upon signup and continues until you cancel or we terminate.
You may cancel via the Platform or by email at support@agentria.ai.
We may suspend or terminate your account for breach of these Terms.
Data retention: We retain your data for 6 months after account deactivation, unless required longer by law. You will be notified 30 days before deletion.
Provisions on intellectual property, indemnity, liability, and governing law survive termination.
7. INDEMNITY
You agree to indemnify and hold harmless Genesis Lab, Inc. (Agentria), its affiliates, directors, and employees from any claims, damages, or expenses arising from your breach of these Terms or misuse of the Platform.
8. LIABILITY
We do not exclude liability where unlawful, including death or injury caused by negligence.
Otherwise, we disclaim all implied warranties. The Platform is provided “as is”.
We are not liable for:
loss of profits, revenue, goodwill, or opportunities,
indirect or consequential damages,
reliance on third-party services or integrations.
9. NOTICES & COMPLAINTS
Notices will be issued via the Platform or to your registered email.

10. GOVERNING LAW
These Terms are governed by the laws of South Korea.
However, if you are a consumer in another jurisdiction, you may rely on mandatory local consumer protections.
Disputes will be subject to the exclusive jurisdiction of Seoul courts (South Korea).
11. CONSUMER RIGHT TO CANCEL
If you are a Consumer and unless the below exception applies, you have the right to cancel this Agreement and return the Product within 14 days without giving any reason.
The cancellation period will expire after 14 days from the day after completion of the Transaction. To meet the cancellation deadline, it is sufficient that you send us your communication concerning your exercise of the cancellation right before the expiration of the 14-day period.
To cancel your order, you must inform Agentria of your decision. To ensure immediate processing, please do so by contacting us [here]. Please note that in respect of subscription services your right to cancel is only present following the initial subscription and not upon each automatic renewal.
You also have the right to inform us using the model cancellation form below or by making any other clear, unambiguous statement through our available communication channels. If you use our “Contact Us” form online, we will communicate acknowledgment of receipt of your cancellation request to you without delay.
12. CHANGES TO THESE TERMS
We may update these Terms to reflect service improvements or regulatory changes.
Updated Terms will be posted on the Platform with the date of effect.
